DUTIES AND POWERS OF THE BOARD OF DIRECTORS

1. The Board of Directors shall have general charge and management of the affairs, funds and properties of the Corporation. They shall have full power, and it shall be their duty, to carry out the purposes of the Club; to determine whether the conduct of any member is detrimental to the welfare of the Club; and to fix the penalty (including expulsion or suspension) for such misconduct or any violation of these By-Laws, or rules enacted pursuant to these By-Laws.

2. The Board of Directors may make rules for the conduct of members, and for the use of the Club’s premises and other properties, and define the privileges of the members and their guests not inconsistent, however, with anything herein set forth.

3. The Board of Directors may vote the expenditure of any corporate monies, they may contract for, lease or purchase, in the name of the Club, any properties they deem appropriate to the use of the Club members.

4. The Board of Directors shall not impose any liability or levy any assessment upon the members.



DUTIES OF OFFICERS

1. The President shall preside at all meetings of the Club and of the Board of Directors and shall appoint such committees as he or the general meeting of members shall consider expedient. The President shall not vote at general meetings except in the case of a tie. The President shall vote at the Board of Directors meetings.

2. The Vice president shall perform the duties of the President should the President be unable to serve and shall perform such other duties as may be assigned by the President or by the Board of Directors. The Vice President shall be the Chairperson and appoint a Scholarship Committee of a number of persons deemed necessary by the Vice President to carry out the administrative duties outlined in Article XIII. The Vice President shall appoint a Selection Committee of five members, including the Chairperson, to carry out the responsibilities outlined in Article XIII. The Club’s Athletic Director and Cheer Director shall submit the Scholarship Eligibility Profiles to the Vice President for all eligible candidates no later than November 1st. (Amended 7-12-04)

3. The Secretary shall be responsible for all notice of meetings and generally handle all correspondence of the Club, and shall perform such other duties as may be assigned him by the President, or by the Board of Directors and shall keep the minutes of all meetings, and shall perform such other duties as may be required of him by the President or the Board of Directors.

4. The Treasurer shall keep accurate accounts, and collect all dues and charges due from members. He shall have charge of all receipts and monies of the Club: deposit them in the name of the Club in a bank or banks authorized by the Board of Directors and shall disburse the corporate funds as authorized by the Board of Directors.
